This website is operated by CGM Consultancy Limited, trading as AED NZ. Throughout the site, the terms “we”, “us” and “our” refer to AED NZ.

AED NZ offers this website, including all information, tools and services available from this site, to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

By visiting our site and or purchasing something from us, you engage in our “Service” and agree to be bound by the following Terms of Service (“Terms”), including any additional terms and policies referenced herein. These Terms apply to all users of the site, including browsers, individual consumers, and business purchasers.

If you do not agree to these Terms, you may not access the website or use any services.

We reserve the right to update or replace any part of these Terms by posting changes to our website. Your continued use of the site following any changes constitutes acceptance of those changes.

Our store is hosted on WordPress and WooCommerce, which provide the e-commerce platform that allows us to sell our products and services.

SECTION 1 – ONLINE STORE TERMS

By agreeing to these Terms, you represent that you are at least the age of majority in your place of residence.

You may not use our products for any unlawful or unauthorised purpose, nor may you violate any applicable laws.

You must not transmit any viruses, malware, or destructive code.

A breach of these Terms may result in immediate termination of access to our Services.

SECTION 2 – GENERAL CONDITIONS

We reserve the right to refuse service to anyone for any reason at any time.

You understand that content you submit, excluding payment information, may be transmitted unencrypted across networks. Payment information is always encrypted during transmission.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service without our express written permission.

Headings are for convenience only and do not affect interpretation.

SECTION 3 – ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION

Information on this site is provided for general information only and should not be relied upon as the sole basis for decision-making.

We reserve the right to modify site content at any time and have no obligation to update previously published information.

SECTION 4 – MODIFICATIONS TO SERVICE AND PRICES

Prices for our products are subject to change without notice.

We reserve the right to modify or discontinue the Service at any time without liability to you or any third party.

SECTION 5 – PRODUCTS OR SERVICES

Certain products or services may be available exclusively online and may be subject to limited quantities.

Product images and descriptions are indicative only. We cannot guarantee that your device will display colours or details accurately.

We reserve the right to limit sales by person, region, or jurisdiction and to discontinue any product at any time.

SECTION 6 – BILLING AND ACCOUNT INFORMATION

We reserve the right to refuse or cancel any order you place with us.

You agree to provide current, complete, and accurate purchase and account information and to promptly update any changes so that we can complete transactions and contact you as required.

SECTION 7 – PAYMENTS, TITLE AND CREDIT TERMS

SECTION 7.1 – Payment Terms

Payment must be made in full at the time of purchase unless otherwise agreed in writing.

SECTION 7.2 – Overdue Payments and Interest

If any amount remains unpaid after the due date, we may charge interest from the due date until payment is made in full. Interest will accrue daily at a commercially reasonable rate not exceeding the overdraft reference rate published by a major New Zealand trading bank.

You are responsible for all reasonable costs incurred by us in recovering overdue amounts, including debt collection fees and legal costs on a solicitor and client basis.

SECTION 7.3 – Retention of Title

Title to and ownership of all Products remains with CGM Consultancy Limited until payment in full has been received for those Products, including any applicable charges or interest.

Risk in the Products passes to you upon delivery to the carrier.

If payment is overdue, we may, without prejudice to other rights or remedies:

  • recover or repossess the Products;
  • enter premises where the Products are reasonably believed to be stored for recovery purposes; and
  • resell or otherwise dispose of the Products.

You grant us an irrevocable licence to enter such premises for recovery purposes.

SECTION 8 – DELIVERY OF GOODS

Orders are processed during normal business hours.

Smaller items are generally dispatched within 24 hours. Larger freight items may take up to 48 hours depending on delivery method.

Delivery timeframes are estimates only and are not guaranteed.

SECTION 9 – RETURNS AND INSPECTION

You must inspect Products promptly upon delivery.

Any shortages, incorrect deliveries, or damage must be notified to us in writing within:

  • 3 days for transit damage; or
  • 7 days for all other issues.

Returned goods require prior approval and may be subject to restocking fees unless faulty.

SECTION 10 – WARRANTIES AND CONSUMER GUARANTEES

SECTION 10.1 – Consumer Purchases

Where Products are supplied to you as a consumer, nothing in these Terms excludes, restricts, or modifies any rights or remedies you may have under the Consumer Guarantees Act 1993.

SECTION 10.2 – Business Purchases

Where Products are acquired for business purposes, you agree that the Consumer Guarantees Act 1993 does not apply.

SECTION 10.3 – Manufacturer Warranties

All Products are supplied subject only to the manufacturer’s warranty, if any.

We do not provide any additional warranties, guarantees, or assurances beyond those expressly provided by the manufacturer.

Except as required by law, all other warranties, conditions, and guarantees, whether express or implied, including implied warranties of merchantability or fitness for a particular purpose, are excluded to the maximum extent permitted by law.

SECTION 10.4 – Consumable Parts and Indicative Lifespan

Certain Products include consumable components, including but not limited to batteries, electrode pads, patient cables, and accessories.

Any stated lifespan, shelf life, or replacement interval for consumable components is provided as a guideline only.

The actual usable life of consumable components may vary depending on factors including, but not limited to:

  • the date of installation or activation;
  • frequency of use or testing;
  • storage conditions, including temperature and humidity;
  • environmental exposure; and
  • handling and maintenance practices.

We do not guarantee that consumable components will achieve any stated lifespan, shelf life, or replacement interval.

Normal depletion, wear, expiry, or deterioration of consumable components does not constitute a defect.

We may, from time to time, send reminders to the last known purchaser’s email address. These reminders may include servicing notices, notifications about when replacement parts are due, and other information relating to your purchase. These messages are sent as a courtesy, and we do not guarantee their accuracy or delivery. As the product contains consumable parts, the customer remains responsible for ensuring the AED is properly maintained at all times.

SECTION 11 – LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • our liability is limited to repair, replacement, or supply of equivalent Products at our discretion; and
  • we are not liable for indirect, incidental, or consequential loss, including loss of profits, revenue, data, or business interruption.

Nothing in these Terms limits liability where such limitation is prohibited by law.

SECTION 12 – OPTIONAL TOOLS AND THIRD-PARTY LINKS

Third-party tools and links are provided “as is” without warranties or endorsement.

We are not responsible for third-party content, products, or services.

SECTION 13 – USER COMMENTS AND SUBMISSIONS

You grant us an unrestricted right to use any submissions provided by you, without obligation to compensate or respond.

You are solely responsible for the accuracy and legality of any submissions.

SECTION 14 – PRIVACY

Your submission of personal information is governed by our Privacy Policy.

SECTION 15 – ERRORS AND OMISSIONS

We reserve the right to correct errors, inaccuracies, or omissions and to cancel orders if information is inaccurate.

SECTION 16 – PROHIBITED USES

You must not misuse the site or Services for unlawful, abusive, misleading, or harmful purposes.

SECTION 17 – INDEMNIFICATION

You agree to indemnify and hold harmless AED NZ from any claims arising from your breach of these Terms or misuse of the Products.

We are not liable for delay or failure to perform due to events beyond our reasonable control, including supply chain disruptions, transport delays, or regulatory actions.

SECTION 19 – TERMINATION

These Terms remain effective until terminated by either party.

Termination does not affect obligations incurred prior to termination.

SECTION 20 – ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and us and supersede all prior communications.

SECTION 21 – GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of New Zealand.
